1) Scope of Application

1.1 These General Terms and Conditions (hereinafter referred to as "GTC") of Joel Ladwig and Gerrit Holzer, drimaco GbR (hereinafter referred to as "Intermediary"), apply to all agreements regarding the facilitation of contracts (hereinafter referred to as the "Primary Contract") concluded between a consumer or business entity (hereinafter referred to as "Customer") and the Intermediary via the Intermediary's website. Any conflicting or supplementary terms and conditions of the Customer are hereby expressly rejected unless expressly agreed otherwise.

1.2 For the purposes of these GTC, a consumer is any natural person entering into a legal transaction for purposes that are predominantly outside their trade, business, or profession. A business entity refers to any natural or legal person, or partnership with legal capacity, acting in a professional or commercial capacity when entering into a legal transaction.

2) Subject Matter of the Agreement

The subject matter of these GTC is the facilitation of contracts between the Customer and a third-party provider (hereinafter referred to as "Provider"). The content of the Primary Contract is determined by the specific product or service description available on the Provider’s website. The Intermediary’s obligation is limited to electronically redirecting the Customer via hyperlinks on its website to the respective Provider's offering.

The Intermediary does not become a party to the Primary Contract and does not accept or process any declarations of intent concerning the Primary Contract. Furthermore, the Intermediary does not guarantee that a contract will ultimately be concluded between the Customer and the Provider. The execution of the Primary Contract is solely the responsibility of the Provider. Legal obligations between the Customer and the Provider are subject to statutory provisions and, where applicable, additional contractual terms specified by the Provider.

3) Conclusion of the Contract

3.1 The Intermediary provides various advertising links or banners on its website. By clicking on these links or banners, the Customer is redirected to the offerings of the respective Providers. The display of such links or banners constitutes a binding offer by the Intermediary to enter into a facilitation agreement, which the Customer accepts by clicking on the respective link or banner.

3.2 The text of the facilitation agreement is neither stored by the Intermediary nor made accessible to the Customer after the conclusion of the contract.

3.3 The facilitation agreement is exclusively available in German.

4) Compensation

The facilitation of the Primary Contract is free of charge for the Customer. Any costs arising from the Primary Contract are disclosed to the Customer in the Provider's offer and are settled directly between the Provider and the Customer upon conclusion of the Primary Contract. The legal framework governing the relationship between the Customer and the Provider applies, including any terms and conditions specified by the Provider.

5) Service Disruptions

5.1 The Intermediary is liable for service disruptions relating to the facilitation of contracts between the Intermediary and the Customer in accordance with statutory provisions.

5.2 The Intermediary assumes no liability for service disruptions related to the Primary Contract between the Customer and the Provider. Any claims arising from such disruptions must be addressed directly by the Customer to the respective Provider.

6) Applicable Law

The legal relationship between the parties is governed by the laws of the Federal Republic of Germany. For consumers, this choice of law applies only to the extent that the protection granted by mandatory provisions of the law of the state in which the consumer habitually resides is not withdrawn.

7) Alternative Dispute Resolution

7.1 The European Commission provides an online platform for the resolution of disputes, available at: https://ec.europa.eu/consumers/odr

This platform serves as a point of contact for the extrajudicial resolution of disputes arising from online purchase or service agreements involving a consumer.

7.2 The Intermediary is neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration body.
